1. Agreement to Terms
By accessing or using Relaya's clinical documentation platform ("Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of a healthcare organisation, you represent that you have authority to bind that organisation to these terms.
2. Description of Service
Relaya provides AI-powered clinical documentation tools including medical transcription, SOAP note generation, and clinical decision support for licensed healthcare professionals operating in India. The Service is designed to assist, not replace, clinical judgement.
3. Eligibility
The Service is available to licensed healthcare professionals, clinics, and hospitals registered in India. You must be at least 18 years of age and hold valid medical credentials as required by applicable Indian law.
4. Account Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Relaya immediately of any unauthorised use. You must not share login credentials across multiple practitioners.
5. Acceptable Use
You shall use the Service only for lawful clinical documentation purposes. You shall not attempt to reverse-engineer the AI models, use the Service to generate fraudulent medical records, or upload content that violates patient consent requirements under applicable Indian data protection laws.
6. Intellectual Property
Relaya retains all rights in the platform, AI models, and underlying technology. Clinical notes generated through the Service belong to the healthcare provider. You grant Relaya a limited licence to process your input data solely for the purpose of providing the Service.
7. Limitation of Liability
Relaya's total liability shall not exceed the fees paid by you in the twelve months preceding the claim. Relaya shall not be liable for clinical decisions made based on AI-generated outputs. The Service is an assistive tool and does not constitute medical advice.
8. Termination
Either party may terminate this agreement with 30 days written notice. Relaya may suspend access immediately if you breach these terms. Upon termination, you may export your data within 60 days, after which it will be securely deleted.
9. Governing Law
These terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka. Arbitration under the Arbitration and Conciliation Act, 1996 shall be the preferred dispute resolution mechanism.
10. Changes to Terms
Relaya may update these terms from time to time. We will notify you of material changes via email or in-app notification at least 14 days before they take effect. Continued use after changes constitutes acceptance.
